Terms of Service

These Terms of Service ("Terms") govern your access to and use of the LLMRepo AI customer operations platform, including the marketing site, authenticated dashboard, licensing APIs, and related services (collectively, the "Service"). By creating an account, activating a trial, or otherwise using the Service, you agree to be bound by these Terms.

1. Eligibility & Account Registration

You must be at least 18 years old and capable of forming a binding contract to use the Service. Account registration is provided through Clerk; you agree to provide accurate information, maintain the security of your credentials, and LLMRepo notify us of any unauthorized use. Accounts are personal to the organization or individual who registers and may not be shared outside your team without our written consent.

2. Subscriptions, Trials & Payments

The Service is offered on subscription tiers identified on the LLMRepo site. Paid plans may be purchased via integrations with Stripe, Paddle, or Gumroad, each subject to their own terms. Unless otherwise stated, fees are billed in advance, non-refundable, and inclusive of any applicable trials. A seven-day free trial is available for new accounts; at the end of the trial the selected tier will begin unless you cancel. You authorize us to bill your chosen payment method for recurring charges until you cancel through the dashboard or by contacting support.

3. License Keys & Device Management

LLMRepo issues cryptographically signed license keys through the dashboard, license APIs, or approved resellers. License keys are limited to the tier-specific activation counts and device limits described in your plan. You are responsible for distributing keys only to authorized end users, monitoring device activations, and using the provided dashboards to deactivate unused devices. Automated license verification endpoints may be integrated into your Electron or other desktop applications; you agree not to tamper with, bypass, or interfere with the verification process.

4. Acceptable Use

You will use the Service in compliance with all applicable laws, regulations, and industry standards. Without limitation, you may not: (a) attempt to reverse engineer or access non-public areas of the Service; (b) upload malicious code or use the Service to transmit spam; (c) resell, sublicense, or white-label the Service without written permission; (d) use the Service to process unlawful, infringing, or defamatory content; or (e) interfere with payment, licensing, or security controls. We may suspend or terminate access for violations.

5. Customer Content & AI Output

You retain ownership of content you upload or generate through LLMRepo, including customer conversations, knowledge base articles, and configuration settings ("Customer Content"). To provide the Service, you grant us a non-exclusive license to host, process, transmit, and display Customer Content. AI-generated outputs are produced based on your prompts and are provided for your internal use; you are responsible for evaluating accuracy, complying with applicable laws, and ensuring your downstream use respects intellectual property rights. We do not train foundational AI models on your Customer Content unless you separately opt in.

6. Security & Privacy

We implement commercially reasonable safeguards, including AES-256-GCM encryption of license data, HTTPS-only transport, and role-based access controls. You remain responsible for configuring any integrations (for example, Clerk authentication, Prisma database access, webhooks, and email providers such as AWS SES, Resend, or SendGrid) in a secure manner. Our use of personal data is described in the LLMRepo Privacy Policy, which forms part of these Terms.

7. Service Availability & Modifications

We strive to keep the Service available 24/7 but do not guarantee uninterrupted uptime. Maintenance windows or unscheduled downtime may occur, and we will provide reasonable notice when practicable. We may modify features, release new functionality, or discontinue components (such as specific payment or email providers) with reasonable notice. Material changes to these Terms will be posted on this page with an updated effective date.

8. Termination

You may terminate your subscription at any time through the dashboard. We may suspend or terminate access upon notice if you materially breach these Terms, fail to pay fees, or if continued provision of the Service would be unlawful. Upon termination, your license to use the Service ends, and you must cease using issued license keys except as required to wind down your operations. Sections intended to survive (including payment obligations accrued to date, confidentiality, warranty disclaimers, limitations of liability, and indemnities) will survive termination.

9. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that AI outputs will be accurate or that the Service will be uninterrupted, error-free, or completely secure.

10. Limitation of Liability

To the maximum extent permitted by law, LLMRepo and its suppliers will not be liable for indirect, incidental, consequential, special, or exemplary damages, including lost profits, lost data, or business interruption, arising out of or relating to the Service. Our aggregate liability for direct damages will not exceed the fees paid by you to LLMRepo during the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You will indemnify and hold harmless LLMRepo, its affiliates, and their respective officers, directors, employees, and agents from any claim, demand, or loss arising out of your use of the Service, Customer Content, or violation of these Terms, except to the extent caused by our gross negligence or willful misconduct. We will LLMRepo notify you of any such claim and provide reasonable cooperation at your expense.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of laws principles. The parties will first attempt to resolve disputes informally; if unresolved after thirty (30) days, disputes will be submitted to binding arbitration in English in Delaware, except that either party may seek injunctive relief in any court of competent jurisdiction.
